2. Agreement Terms & Conditions

a) During your use of the website, this Agreement will continue in full force and effect. Following the procedures on the "Account Tools" part of the User Home page, the User may cancel their membership at any time and for any reason. MetyCalc may terminate a user's subscription at any time and for any cause. Despite the termination of a user's membership, certain provisions of this Agreement will continue in effect.

b) Regarding the Program, MetyCalc offers no express or implied warranties or assurances. The User accepts that the use of the Program for forecasting the performance of certain laminates composed of certain materials is at the User's sole risk. The Program solely generates theoretical results, and the User expressly disclaims all duty or responsibility of any kind for any matters that may come from the use of theoretical findings generated by the Program. The physical performance of laminates must be evaluated using actual laminates, and the User expressly agrees that neither the User nor anyone claiming by, through, or under the User nor any customer of the User may rely on the performance ratings generated by the Program. MetyCalc expressly disclaims all guarantees connected to the Program, with the exception of the warranty of title, including warranties of merchantability and fitness for a particular purpose. In addition, MetyCalc provides no guarantee that the functioning of our website will be uninterrupted or error-free, and we are not accountable for any disruptions or errors. MetyCalc may at any time modify, restrict access to, stop, or discontinue the website or any portion thereof. The website's information, content, and services are provided without warranty. When using the site and/or participating in its activities, the User acknowledges and accepts that participation is at their own risk.

c) The User hereby acknowledges that all rights, titles, and interests, including but not limited to rights covered by the Intellectual Property Rights, in and to the website are owned by the Owner, and that the User will not acquire any rights, titles, or interests in or to the website except as expressly provided in this Agreement. The User shall not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble, or otherwise attempt to derive source code from any of the services, software, or documentation, nor shall the User create or attempt to create a substitute or comparable service or product through use of or access to the Program or proprietary information related thereto.

d) The User's rights, regardless of their nature, cannot be assigned or transferred, and any effort to do so will result in the immediate termination of this Agreement without liability to MetyCalc. Nevertheless, MetyCalc may assign this Agreement to anybody at any time and without notice.

3. Waiver

Note that all computations are dependent on the information and expertise of the User. METYX and METYCALC do not promise or suggest the guarantee of accurate data; they simply provide forecasts based on USER data and inputs. Neither METYX nor METYCALC are liable for the outcomes based on these projections and shall be held harmless in the event that a claim is made against our goods. The failure of the Program or MetyCalc to insist upon strict performance of any of the terms, conditions, and covenants hereof shall not be construed as a relinquishment or waiver of any rights or remedy that MetyCalc may have, nor shall it be construed as a waiver of any subsequent breach of the terms, conditions, or covenants hereof, which terms, conditions, and covenants shall remain in full force and effect.

In the event that any provision of these terms and conditions is deemed invalid or unenforceable pursuant to a court order or decision, such provision shall be construed to apply only to the extent permitted by law, and the remainder of these terms and conditions shall remain valid and enforceable according to their terms.

This Agreement shall be governed by the substantive laws of North Carolina, without regard to considerations of conflicts of law. The Agreement describes and encompasses the entire agreement between MetyCalc and the User, and it supersedes all prior or contemporaneous agreements, representations, warranties, and understandings pertaining to the website, the contents and materials provided by or through the website, and the subject matter of this Agreement.

4. Jurisdiction

Any dispute, controversy, or difference which may arise between the parties out of, in relation to, or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of North Carolina, to the exclusion of any other courts, without regard to its conflict of law provisions or the User's actual state or country of residence.

5. Modifications

MetyCalc reserves the right to make and implement modifications to this Agreement at any time and without particular notice to the User. Before using the website, the User should carefully consider the agreement displayed on the website, which reflects the most recent agreement.
